Introduction and Acceptance

Welcome to Goalvana. These Terms of Service ("Terms") govern your access to and use of the Goalvana platform, including our website, mobile applications, and related services (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree to these Terms, you may not access or use the Platform.

Definitions

"Coach" refers to individuals who provide coaching services through the Platform.

"Coachee" or "Client" refers to individuals who receive coaching services through the Platform.

"User" refers to both Coaches and Coachees.

"Services" refers to all features, tools, and functionality provided by Goalvana.

Eligibility

To use the Platform, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Provide accurate and complete registration information
Maintain the security of your account credentials
Not be prohibited from using the Platform under applicable laws

By creating an account, you represent and warrant that you meet these eligibility requirements.

Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration
Update your information to keep it accurate and current
Notify us immediately of any unauthorized access or security breach
Not share your account credentials with others
Not create multiple accounts or impersonate others

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

Terms for Coaches

Professional Standards

As a Coach, you represent and warrant that you:

Possess appropriate qualifications, training, and experience to provide coaching services
Will provide services in a professional, ethical, and competent manner
Will maintain confidentiality of client information (except as required by law)
Will comply with applicable professional standards and codes of conduct
Are not providing medical, legal, or mental health therapy services (unless specifically licensed to do so)

Coach-Client Relationship

You are solely responsible for the coaching services you provide
Goalvana facilitates connections but is not a party to the coach-client relationship
You must clearly communicate your coaching approach, methods, and limitations
You must respect boundaries and maintain appropriate professional relationships

Scheduling and Availability

You are responsible for maintaining accurate availability in your calendar
You must honor scheduled sessions or provide reasonable notice of cancellation
You should respond to client communications in a timely manner

Content and Materials

You retain ownership of coaching materials you create
You grant Goalvana a license to use your profile and content to promote the Platform
You warrant that your content does not infringe third-party rights

Terms for Coachees

Understanding Coaching Services

You acknowledge and understand that:

Coaching is not therapy, counseling, or medical treatment
Coaches are not licensed mental health professionals (unless separately credentialed)
Results from coaching are not guaranteed and depend on your engagement
You are responsible for implementing coaching advice and making your own decisions

Your Responsibilities

Attend scheduled sessions or provide reasonable notice of cancellation
Communicate honestly and openly with your coach
Complete assigned activities and exercises between sessions
Provide feedback to help improve the coaching experience
Respect your coach's time and professional boundaries

Health and Safety

If you are experiencing mental health crisis, medical emergency, or require therapeutic intervention, please seek appropriate professional help immediately. Coaching is not a substitute for professional medical or mental health care.

Payment and Billing

Platform Subscriptions

Subscription fees are billed in advance on a recurring basis
You authorize us to charge your payment method for applicable fees
Prices are subject to change with 30 days' notice
No refunds for partial subscription periods unless required by law
You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period

Coaching Session Payments

Coaches set their own rates for coaching services
Payments are processed through Stripe or PayPal
Goalvana may charge a platform fee or commission on coaching transactions
Coaches are responsible for applicable taxes on their earnings
Refund policies for coaching sessions are determined by individual coaches

Payment Processing

Payment information is securely processed and stored by our payment partners (Stripe and PayPal). Goalvana does not store complete credit card numbers. You agree to pay all charges incurred under your account and to maintain valid payment information.

Late Payments

Failure to pay subscription fees may result in suspension or termination of your account. We may use collection agencies or legal action to recover unpaid amounts.

Cancellation and Refunds

Session Cancellations

Cancellation policies are set by individual coaches
Typical cancellation windows range from 24-48 hours before scheduled sessions
Late cancellations may result in forfeiture of payment

Subscription Cancellations

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds are provided for partial subscription periods.

Prohibited Conduct

You agree not to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Upload or transmit viruses, malware, or malicious code
Harass, threaten, or abuse other users
Post false, misleading, or defamatory content
Engage in unauthorized commercial activities or solicitation
Circumvent security features or access restrictions
Scrape, crawl, or harvest data from the Platform
Use the Platform for any illegal or unethical purpose
Impersonate others or provide false information
Interfere with the operation of the Platform

Violation of these prohibitions may result in immediate suspension or termination of your account and legal action.

Intellectual Property Rights

Goalvana's Rights

The Platform, including its design, features, software, and content, is owned by Goalvana and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

User Content

You retain ownership of content you create and post on the Platform. By posting content, you grant Goalvana a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting the Platform.

Feedback

Any feedback, suggestions, or ideas you provide to Goalvana become our property, and we may use them without compensation or attribution.

Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

The Platform will be uninterrupted, secure, or error-free
The quality of services, information, or content will meet your expectations
Any errors or defects will be corrected
Coaching services will achieve specific results or outcomes

No Medical or Therapeutic Advice: The Platform does not provide medical, mental health, legal, or financial advice. Coaches are not medical professionals unless separately licensed. Always seek appropriate professional help for medical, mental health, or crisis situations.

Third-Party Services: We are not responsible for the conduct, services, or content of coaches or third-party integrations (e.g., payment processors, calendar services).

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOALVANA SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from your use or inability to use the Platform
Conduct or content of coaches, coachees, or third parties
Unauthorized access to or alteration of your data

Our total liability for all claims shall not exceed the amount you paid to Goalvana in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Goalvana and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any rights of others
Your content or conduct on the Platform
Coaching services you provide or receive (as applicable)

Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

Violation of these Terms
Fraudulent or illegal activity
Behavior that harms other users or the Platform
Non-payment of fees
Prolonged inactivity

You may terminate your account at any time through account settings. Upon termination:

Your right to use the Platform ceases immediately
Outstanding fees remain due and payable
Your data will be deleted according to our Privacy Policy
Sections of these Terms that should survive termination will remain in effect

Dispute Resolution

Informal Resolution

Before filing a legal claim, you agree to contact us at support@goalvana.com to attempt to resolve the dispute informally. We'll work with you in good faith to resolve the issue.

Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

Arbitration

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Goalvana regarding the Platform.
